Sale vs Hire Purchase Agreement
Introduction
A contract of sale and a hire purchase agreement are common methods of transferring goods. While both may involve payment in instalments, their legal nature is different. Understanding this distinction is important to determine ownership, risk, and rights of parties.
Meaning / Definition
A contract of sale is an agreement where the seller transfers ownership (property) in goods to the buyer for a price.
A hire purchase agreement is an agreement where goods are given on hire, and the hirer has an option (choice) to purchase them later. Ownership passes only after payment of all instalments and exercise of the option.
Hire purchase is treated as a contract of bailment (temporary transfer of goods), where the hirer is like a bailee (person holding goods) and the owner is like a bailor.
Modes or Types
Contract of Sale
- Ownership transfers immediately or as per contract
- Buyer becomes full owner
- Payment may be in lump sum or instalments
Hire Purchase Agreement
- Possession transfers immediately
- Ownership transfers only after last instalment
- Hirer has option to purchase or return goods
- It is both a hire (use) and possible sale
Important Case Law
In Lee v Butler (1893), the court held that if the person taking goods has no option to terminate the agreement, it is a contract of sale, even if payment is made in instalments.
