Duration of Partnership
Introduction
Partnerships can differ based on how long they are intended to last. The Indian Partnership Act, 1932 classifies partnerships based on duration into two main types. This classification helps determine how and when a partnership can be dissolved.
Meaning / Definition
Duration of partnership refers to the time period for which a partnership exists. It depends on the agreement between partners regarding the length or purpose of the partnership.
Modes or Types
Partnership at Will (Section 7)
A partnership is called a partnership at will when:
- There is no fixed duration mentioned in the agreement
- No specific purpose or venture is defined
Key features:
- It can be dissolved by any partner
- Dissolution requires notice in writing to all other partners
- No need to give any reason for dissolution
Particular Partnership (Section 8)
A particular partnership is formed:
- For a specific venture (project) or
- For a fixed period
Key features:
- It ends automatically on completion of the venture or expiry of time
- It can be dissolved earlier only with consent of all partners
- If continued after completion or expiry, it becomes a partnership at will
