Bailor’s Rights

Introduction

Under the Indian Contract Act, 1872, the rights of a bailor arise mainly from the duties of the bailee. In simple terms, whatever the bailee is required to do becomes the bailor’s right. These rights ensure that the bailor’s goods are protected and properly handled during the bailment.

Meaning / Definition

Bailor’s rights are the legal entitlements of the person who delivers goods (bailor) to ensure that the bailee uses, protects, and returns the goods as agreed. These rights are mainly derived from the duties imposed on the bailee.

Modes or Types

Right to enforce bailee’s duties

The bailor has the right to ensure that the bailee performs all his duties properly.
For example, the bailor can demand return of goods and any increase (profit or addition) arising from them.

Right to claim damages

If the bailee fails to take reasonable care of the goods and causes loss or damage, the bailor can claim damages (compensation for loss).

Right to avoid (cancel) the contract

If the bailee uses the goods in a way that is not allowed under the contract, the bailor can cancel the bailment.

Right to claim compensation for misuse or mixing

The bailor can claim compensation if:

  • The goods are used without permission
  • The goods are mixed with other goods without consent
  • The goods are damaged due to such actions

Right to get back the goods

The bailor has the right to receive the goods back:

  • After the purpose is completed, or
  • After the agreed time ends

Right to demand return at any time (gratuitous bailment)

In free bailment (no payment), the bailor can demand return of goods at any time, even before the agreed period ends.

Right to share profits

If the contract provides, the bailor has the right to share any profit earned from the goods.

Right to expenses of separation

If the bailee mixes goods without permission and separation is possible, the bailor can claim the cost of separating the goods.

Right to compensation for delay

If the bailee delays returning the goods and loss occurs during that delay, the bailor can claim compensation.

Bailor’s Rights vs Bailee’s Duties

  • Bailor’s rights are the mirror image of bailee’s duties
  • Example: Duty to return goods = Right to receive goods
  • Duty to take care = Right to claim damages for negligence

Practical Example

A gives his car to B for personal use. B starts using it as a taxi without permission.
Here:

  • A can cancel the contract
  • A can claim compensation for damage
  • A can demand immediate return of the car
