Essential Elements of Bailment

Introduction

A valid contract of bailment under the Indian Contract Act, 1872 requires certain essential elements. These elements ensure that there is a proper transfer of possession of goods for a specific purpose with an obligation to return or dispose of them.


Meaning / Definition

Bailment under Section 148 means delivery of goods by one person to another for a purpose, upon a contract that the goods shall be returned or disposed of as directed after the purpose is fulfilled.

The essential elements define when such a legal relationship exists.


Modes or Types

Express Bailment

  • Created by clear agreement between parties
  • Terms are directly stated

Implied Bailment

  • Arises from conduct or surrounding circumstances
  • No direct agreement but intention is clear

Important Case Law

  • Ultzen v. Nicols
    Even voluntary act (like a waiter taking a coat) can create bailment if possession is taken.

  • Kaliaperumal v. Visalakshmi (1938)
    No bailment without effective delivery of possession. Retaining control (keeping key) prevents bailment.

  • Atul Mehra v. Bank of Maharashtra
    Mere locker facility is not bailment unless bank has exclusive control over goods.

Practical Example

A gives his watch to B for repair.
